These Terms of Service (“Terms”) are a binding agreement between you and Ellas Enterprise LLC, a New Jersey limited liability company doing business as Mastro Minds (“Mastro Minds,” “we,” “us,” or “our”). They govern your use of mastromindsnyc.com (the “Site”), our free audit tool, our Agency OS platform, and any related services (together, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are

2. Eligibility and Business Use
You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a company, you confirm that you have authority to bind that company to these Terms, and “you” includes that company.
3. Our Services
Mastro Minds provides Amazon and Walmart growth services, including advertising (PPC) management, listing and SEO optimization, analytics, and software-enabled tools. Paid engagements are also governed by a separate service agreement or proposal signed by both parties. If that agreement conflicts with these Terms, the signed agreement controls.
4. Free Amazon Audit
Our free audit tool uses the information you submit, publicly available listing information, and AI-assisted analysis to produce an informational report.
- The audit is provided free of charge, for general information only, and “as is.” It is not a guarantee of results or professional legal, tax, or financial advice.
- AI-generated content may contain errors. Review recommendations before acting on them.
- By submitting the audit form, you agree that we may contact you about your audit and our Services. You can opt out at any time.
5. Agency OS and Amazon Integration
If you connect your Amazon account to Agency OS, you authorize us to access your account data through Amazon’s Selling Partner API (SP-API) only to provide the Services. You can revoke this authorization at any time from your Amazon Seller Central account. Our handling of Amazon data is described in our Privacy Policy.
You remain responsible for your Amazon account and for complying with Amazon’s Business Solutions Agreement, Seller Terms, and policies. We follow Amazon’s Acceptable Use Policy and Data Protection Policy.
6. Acceptable Use
You agree not to:
- Use the Services to break any law or any Amazon or Walmart marketplace policy.
- Manipulate search results, rankings, or customer reviews on any marketplace.
- Use bots, scrapers, or other automated tools to extract data from the Site or the Services.
- Interfere with, overload, or try to gain unauthorized access to the Services or their systems.
- Submit false information, or information you do not have the right to share.
- Copy, resell, or reverse-engineer the Services or Agency OS.
7. Intellectual Property
The Site, Agency OS, our tools, methods, templates, and brand are owned by Mastro Minds and protected by intellectual property laws. You may not use them except as these Terms allow.
Content we create specifically for a client, such as listing copy and SEO content, is for that client’s exclusive use once paid for, unless the service agreement says otherwise. Mastro Minds keeps ownership of Agency OS and its underlying software, know-how, and general methods.
8. Your Information and Feedback
You keep ownership of the information and materials you give us. You grant us a limited license to use them only to provide the Services. If you send us suggestions or feedback, we may use them without any obligation to you.
9. Third-Party Services
The Services work with or link to third-party services, such as Amazon, Walmart, Calendly, and AI providers. We are not responsible for third-party services, their availability, or changes to their policies or algorithms.
10. No Guarantee of Results
Marketplace performance depends on many factors outside our control, including competition, platform algorithms, policies, and your own products and operations. We do not guarantee any specific sales, rankings, advertising results, or return on investment.
11. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the fullest extent permitted by law, Mastro Minds will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or account suspensions, arising from or related to the Services. Our total liability for any claim related to the Services will not exceed the greater of (a) the fees you paid us in the 12 months before the claim arose or (b) US $100.
13. Indemnification
You agree to defend, indemnify, and hold harmless Ellas Enterprise LLC and its members, employees, and contractors from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
You may stop using the Services at any time, and either party may end a paid engagement as its service agreement allows. We may suspend or end your access if you violate these Terms. When access ends, your Agency OS access is revoked and your data is handled as described in our Privacy Policy. Sections 7 through 13 and 15 survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and change the Effective Date above. Material changes will take effect 15 days after posting. If you keep using the Services after changes take effect, you accept the updated Terms.
17. General
These Terms, our Privacy Policy, and any signed service agreement are the entire agreement between you and us about the Services. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our written consent.
